User License Agreement

1.1 Agreement Structure

This Agreement is the primary legal document governing your use of the Services. In addition to this Agreement, the following documents also apply to your use of the Services:

• The Privacy Policy;
• The Payment and Refund Service Agreement;
• Rules published within the application, on the official website, or on specific feature pages;
• Mandatory laws and regulations applicable in your country or region.

If different documents contain inconsistent provisions concerning the same matter, matters relating to subscriptions, payments, automatic renewal, and refunds shall be governed by the Payment and Refund Service Agreement and the applicable rules of the relevant purchase platform.

1.2 User Eligibility

You must have the legal capacity to enter into a legally binding agreement and must meet the minimum age requirement for using the Services under the laws of your country or region.

If you use the Services on behalf of a company, organization, or other legal entity, you represent that you have the legal authority to accept this Agreement on behalf of that entity.

1.3 Account Information

When the Service requires you to create or use an account, you must provide true, accurate, and complete information and promptly update such information when it changes. You are responsible for safeguarding your account password, verification codes, and other login credentials, and for activities conducted through your account.

Each EI VPN subscription account may be used simultaneously on multiple devices, subject to the device limits applicable to the relevant subscription plan.

Without our prior authorization, you may not use your account or subscription benefits for commercial resale, rental, sublicensing, bulk distribution, or other commercial purposes, nor may you provide your account or subscription benefits to third parties through account sharing, account sales, or other means beyond normal personal use.

Without our authorization, you may not sell, rent, transfer, share, or otherwise provide access to your account to any third party. If we have reasonable grounds to believe that an account involves fraud, impersonation, malicious bulk registration, account sharing, circumvention of service restrictions, commercial resale, or other abnormal activity, we may, in accordance with this Agreement and applicable law, restrict, suspend, or terminate the account.

2.1 Services

EI VPN is a network connectivity and privacy protection tool that primarily uses VPN technology to establish network connections between your device and VPN servers. Specific features, server locations, connection protocols, supported number of devices, speed, traffic limits, and other service features are subject to the actual product version, subscription plan, and information displayed on the relevant pages.

2.2 Changes to the Services

We may add, modify, suspend, or discontinue features, server locations, connection methods, software versions, or other aspects of the Services based on technological developments, network conditions, server operations, applicable laws and regulations, third-party infrastructure, product planning, or other reasonable factors.

For changes that may materially affect users, we will provide notice through the official website, application, email, or other appropriate means to the extent required by applicable law.

2.3 Service Availability

We will take reasonable measures to maintain the stable operation of the Services. However, due to the internet, telecommunications networks, data centers, servers, network operators, devices, systems, natural disasters, government actions, or other factors beyond our reasonable control, the Services may experience temporary interruptions, delays, connection failures, unavailable servers, or other abnormalities.

Accordingly, to the extent permitted by applicable law, we do not guarantee that:

• The Services will always be continuously available;
• All servers or regions will always be accessible;
• The Services will be compatible with all devices, network environments, or third-party services;
• VPN connections will always achieve any particular speed, latency, or level of stability;
• The Services will be free from errors, failures, or interruptions.

2.4 Third-Party Networks

The Services depend on the internet, telecommunications operators, data centers, cloud service providers, network service providers, and other third-party infrastructure. To the extent permitted by applicable law, we are not responsible for indirect losses arising from network blocking, routing changes, bandwidth fluctuations, service failures, or other issues caused by such third parties.

3.1 Limited License

Subject to your compliance with this Agreement and applicable law, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, and revocable license to download, install, and use the Services solely on compatible devices that you own or legally control.

Except for the rights expressly granted to you under this Agreement, you receive no other rights in or to the Services or any component thereof.

3.2 Restrictions on Use

Except as expressly permitted by applicable law or with our prior written authorization, you may not:

• Copy, modify, adapt, translate, or create derivative works of the Services;
• Reverse engineer, decompile, disassemble, or otherwise attempt to obtain the source code of the Services;
• Remove or modify copyright, trademark, patent, or other proprietary notices contained in the Services;
• Sell, rent, license, sublicense, transfer, or otherwise commercially exploit the Services;
• Circumvent, disable, damage, or bypass technical limitations, security measures, or access controls of the Services;
• Use automated programs to create accounts or initiate connections in large numbers;
• Use the Services to develop products or services that directly compete with EI VPN.

Nothing in this section limits any non-waivable rights expressly granted to you under applicable law.

4.1 Lawful Use

You must use the Services in accordance with applicable laws, this Agreement, and the applicable rules of relevant third-party platforms or services. VPN technology is a network connectivity and privacy protection technology, but you may not use the Services to engage in unlawful activities.

4.2 Prohibited Conduct

When using the Services, you may not:

• Commit or assist in committing unlawful or criminal activities;
• Infringe the copyrights, trademarks, patents, trade secrets, privacy rights, or other lawful rights of others;
• Distribute viruses, Trojans, ransomware, malicious code, or other harmful programs;
• Conduct network attacks, port scanning, vulnerability exploitation, denial-of-service attacks, or similar activities;
• Engage in spam, phishing, fraud, identity theft, impersonation, or other fraudulent activities;
• Conduct unauthorized large-scale data scraping, account takeover, credential testing, or automated access;
• Use the Services in a manner that causes abnormal or excessive loads on servers, networks, or other infrastructure;
• Interfere with the normal use of the Services by other users;
• Circumvent, bypass, or compromise the security measures, technical restrictions, or access controls of third-party services;
• Use the Services in violation of the rules of third-party websites, platforms, content providers, or applications;
• Engage in any other conduct that violates applicable laws or this Agreement.

4.3 Responsibility for User Content

You are solely responsible for any content that you access, transmit, download, or process through the Services. You must ensure that you own or have obtained all necessary legal rights to use, reproduce, or distribute such content.

EI VPN does not claim ownership of, and is not responsible for, third-party content that you access, transmit, or use through the Services.

5.1 Fair Use Principle

To ensure that all users can reasonably and reliably use the Services, you must use servers, network bandwidth, connection capacity, and other service resources reasonably.

5.2 Abnormal or Abusive Use

The following activities may be considered abnormal or abusive use:

• Using scripts, bots, or other automated methods to establish or maintain a large number of connections;
• Using a single account, device, or connection to continuously generate unusually large volumes of traffic;
• Maliciously consuming or monopolizing server, bandwidth, or other network resources;
• Selling, renting, reselling, bulk distributing, or otherwise commercially providing EI VPN accounts or subscription benefits;
• Sharing an account or subscription benefits with multiple third parties beyond the scope of normal personal use;
• Circumventing device, account, or subscription restrictions through account sharing, bulk registration, or similar methods;
• Conducting attacks, scanning, or other activities that threaten service security;
• Other conduct that materially affects service infrastructure or the normal use of the Services by other users.

5.3 Measures We May Take

For conduct that violates this Agreement, threatens service security, or materially affects other users, we may, depending on the circumstances:

• Issue a warning or require you to stop the relevant conduct;
• Restrict connections associated with the relevant account;
• Restrict access to certain servers or features;
• Temporarily suspend the account;
• Terminate the account and related Services.

Where conduct involves network attacks, fraud, distribution of malicious programs, or other urgent risks, we may take necessary measures immediately without prior notice where reasonably necessary.

6.1 Account Security

You are responsible for protecting the security of your account and login credentials. If you discover unauthorized use of your account, you should promptly contact us and take necessary measures to change your password or otherwise secure your account.

6.2 Device Limits

We may impose reasonable limits on the number of devices that may be simultaneously signed in, the number of connections, or other usage activities based on the applicable subscription plan, product version, or security requirements. Each subscription account may be used simultaneously on multiple devices within the device limit specified for the applicable subscription plan. The applicable device and simultaneous connection limits are subject to the information displayed on the relevant product or subscription page.

Use of multiple devices is permitted for the account holder's normal personal use only. Unless otherwise expressly authorized by us, you may not use your account or subscription benefits for commercial resale, rental, bulk sharing, distribution of VPN services to third parties, or other commercial purposes.

If we determine that an account is being used for excessive sharing, resale, rental, bulk distribution, or other abusive purposes beyond normal personal use, we may, in accordance with this Agreement, restrict device connections, limit certain features, suspend the account, or terminate the Service.

6.3 Account Suspension or Termination

If you materially violate this Agreement, engage in suspected fraud, abuse the Services, attack or threaten our servers or network infrastructure, engage in unlawful activities, or otherwise materially violate this Agreement or applicable law, we may, depending on the circumstances, suspend or terminate the relevant account and Services.

• Except where otherwise required by mandatory applicable law, subscription fees already paid by the user will generally not be refunded, and any unused remaining subscription period will not give rise to a refund or compensation as a result of such termination.
• Termination of an account does not automatically extinguish payment obligations, intellectual property obligations, confidentiality obligations, liabilities, dispute resolution rights, or other rights and obligations that arose before termination. Provisions that by their nature should survive termination will remain in effect.

If an account is terminated by us for reasons unrelated to the user's violation, any applicable refund will be handled in accordance with the Payment and Refund Service Agreement and applicable law.

7.1 Software Updates

To maintain the security, stability, and functionality of the Services, we may provide software updates, patches, or new versions to your device. Certain features may require you to update to the latest version in order to function properly.

7.2 Device and System Requirements

You are responsible for ensuring that your device, operating system, and network environment meet the minimum requirements of the Services. Operating system updates, device manufacturer restrictions, changes to third-party software, or other compatibility issues may cause the Services to malfunction or become unavailable.

We are not responsible for issues directly caused by factors outside EI VPN's control, except where otherwise required by applicable law.

8.1 Ownership

Except for user content, third-party content, and content otherwise expressly stated, the Services and all components thereof, including but not limited to software, source and object code, websites, application interfaces, images, graphics, designs, trademarks, names, logos, and technical solutions, are owned by EI VPN or their respective lawful rights holders.

8.2 Reservation of Rights

Your use of the Services does not grant you any ownership interest, intellectual property rights, or other proprietary rights in the Services. Without our prior written authorization, you may not use EI VPN's trademarks, names, logos, or other brand elements.

8.3 Open-Source and Third-Party Software

The Services may contain third-party software or open-source components whose use is governed by the applicable licenses or license agreements. You must comply with the relevant license terms, and EI VPN will fulfill its applicable obligations as required by law.

9.1 Third-Party Platforms

The Services may integrate with Apple App Store, Google Play, payment providers, network service providers, cloud service providers, and other third-party services. Third-party services are independently provided by the relevant third parties and are subject to their respective terms and policies.

9.2 Third-Party Content

Third-party websites, applications, media, and other internet content that you access through the Services are provided and managed by the relevant third parties. EI VPN does not guarantee the content or availability of such third-party services. Issues arising from changes, restrictions, or interruptions to third-party services are the responsibility of the relevant third parties, except as otherwise required by applicable law.

9.3 Third-Party Rules

When using the Services to access third-party websites or platforms, you must continue to comply with the applicable third-party terms of service, copyright policies, account rules, and other requirements. A VPN connection does not grant you any content rights or platform permissions that you would not otherwise have.

11.1 Free Services

We may provide users with free services or limited functionality. The features, traffic limits, speeds, available servers, device limits, and other restrictions applicable to free services may be adjusted based on product operations.

11.2 Free Trials

If EI VPN offers a free trial or promotional trial, the applicable eligibility requirements, duration, and usage rules will be subject to the information displayed on the relevant promotional page, within the application, or on the purchase page.

Any charges and automatic renewal rules following the end of a trial are governed by the purchase page and the Payment and Refund Service Agreement.

11.3 Promotions

Different users, regions, platforms, and periods may be subject to different promotional offers. Specific promotional terms and conditions are subject to the relevant promotional pages and applicable rules.

12.1 Subscriptions

Subscription periods, prices, automatic renewal, plan changes, and other payment-related matters are governed by the purchase page and the Payment and Refund Service Agreement.

12.2 Website Purchases

Subscriptions purchased directly through the official EI VPN website may be eligible for a refund within 7 days from the date of the initial purchase, subject to the conditions set forth in the Payment and Refund Service Agreement.

Specific refund eligibility, application procedures, review, and processing rules are governed by the Payment and Refund Service Agreement.

12.3 Third-Party Platform Purchases

For subscriptions purchased through Apple App Store, Google Play, or other third-party app stores, refund applications, eligibility requirements, refund amounts, and refund methods are governed by the applicable rules of the relevant platform.

If you purchase a subscription through a third-party platform, you should submit any refund request through the process provided by that platform.

12.4 Cancellation of Automatic Renewal

Cancellation of automatic renewal does not automatically result in a refund. After cancellation, any subscription benefits already paid for will generally remain available until the end of the current subscription period, subject to the applicable purchase channel and service rules.

If you do not wish to incur charges for the next subscription period, you should cancel automatic renewal in accordance with the rules of the applicable purchase channel before the next renewal date.

14.1 Termination by User

You may stop using the Services and cancel automatic renewal in accordance with the rules of the applicable purchase channel.

14.2 Our Right to Suspend or Terminate

We may suspend or terminate part or all of the Services under circumstances including:

• Violation of this Agreement by the user;
• Fraudulent or abnormal payment activity;
• Abuse of servers, networks, or other service resources;
• Conduct that threatens network security;
• Compliance with applicable laws, court orders, or regulatory requirements;
• Significant security incidents;
• Necessary system maintenance or upgrades;
• Other circumstances where such action is reasonably necessary.

14.3 Consequences of Termination

Upon termination of the Services, you must stop using the Services and, where reasonably appropriate, delete the relevant software from your devices.

Termination of the Agreement does not affect rights, obligations, or liabilities that arose before termination.

Network conditions

You understand and agree that the internet and network environment are inherently unpredictable.

Your responsibility

You shall be responsible for such claims, losses, liabilities, costs, or expenses to the extent permitted by law.

23.1 Governing Law

To the extent permitted by applicable law, the formation, interpretation, and performance of this Agreement shall be governed by the laws of the Hong Kong Special Administrative Region, without regard to its conflict-of-law rules, except where otherwise required by applicable law.

23.2 Dispute Resolution

If a dispute arises out of or in connection with this Agreement or the Services, the parties should first attempt to resolve the dispute through good-faith negotiations.

If the dispute cannot be resolved through negotiation, either party may seek resolution in accordance with applicable law and the relevant dispute resolution rules, to the extent permitted by applicable law.

23.3 Statutory Consumer Rights

Nothing in this section limits any rights you may have under applicable consumer protection laws that cannot legally be waived or restricted.
